Code of Conduct
För Swedish Association of Material Sourcing (SAMS) är det viktigt att verksamheten bedrivs på ett sätt som tydligt håller sig inom konkurrensrättens ramar. Konkurrensrättens syfte är att stimulera fri konkurrens vilket har föreningens fulla stöd. SAMS antog uppförandekoden januari 2015: koden uppdaterades oktober 2025.
SAMS must observe the code within the association and members who apply for membership in the association must commit to following the code.
The Code of Conduct aims to provide clear rules for SAMS and its members. Violations of the Code may lead to termination of membership. Another consequence is that the association and its member companies, at the initiative of the Swedish Competition Authority, may be ordered by the court to pay a so-called competition fine. Such a fine may amount to exceptionally high amounts.

Basic working method
- Möten med styrelser, kommittéer, arbetsgrupper och andra samarbetsorgan får endast äga rum efter att deltagarna bjudits in skriftligen. Som skriftlig inbjudan räknas även e-post. Inbjudan till mötet ska innehålla en dagordning.
- Protokoll ska föras vid varje möte som avses i punkt 1 ovan. Protokollen ska skickas till alla medlemmar av forumet ifråga. De ska förvaras på ett organiserat sätt under minst 10 år.
- Samråd och diskussioner inom en styrelse, kommitté, arbetsgrupp eller annat samarbetsorgan ska, om ämnena är marknadsrelaterade, vara begränsade till det officiella mötet vid vilket protokoll förs.
- During consultations, as referred to in paragraph 3 above, the participants may not agree that a particular topic will be discussed during the meeting without minutes being taken. In such cases, the chairman of the meeting shall stop further discussion.
At every meeting of a board, committee, working group or other collaborative body during which market-related topics are discussed, at least one representative from the office shall be given the opportunity to participate. The representative shall be alert to topics that are sensitive from the point of view of competition law. If there is any doubt, the topic may not be discussed until an expert in competition law has been consulted and his advice means that the topic can be discussed without problems or that the framework for the discussion has been clarified.
- Förbjudna ämnen
The following topics are prohibited at meetings with boards, committees, working groups and other collaborative bodies affiliated with SAMS, especially if information exchange on these topics takes place between companies that are competitors:
- Försäljningspriser, taxor, (planerade) prisjusteringar, rekommenderade priser, rabatter, prishöjningar och andra prisrelaterade ämnen avseende medlemsföretagens produkter eller tjänster;
- Market segmentation, for example by allocating a specific geographical area, specific customers or specific groups of customers to specific member companies;
- Begränsningar avseende produktion eller försäljning;
- Consultation in advance regarding responses to requests for quotations from potential customers.
- Exchange of market information concerning individual member companies, i.e. information on production, turnover, sales, investments, divestments, R&D costs and other information insofar as it is related to specific products or services or categories thereof and may be considered commercially sensitive;
- Publicering av genomsnittspriser eller prisspann inom branschen;
- Exclusivity for specific member companies to represent producers and importers;
- Bojkott av särskilda leverantörer eller kunder;
- Other topics that may lead to anti-competitive coordination of the market behavior of member companies;
- Prior consultation between competitors regarding responses to requests for tenders, whether from a public or private buyer;
- Agreements between all competitors to add a fee to the bids to compensate the companies that do not win the bidding competition for their bidding costs.
- Topics that may pose a problem
The following topics may, under certain circumstances, pose a competition law problem, particularly in a highly concentrated, oligopolistic market, i.e. a market with few players. The topics may therefore only be discussed after consultation with a competition law expert:
- Allmänna leveransbestämmelser. Om bestämmelserna hänför sig till känsliga konkurrensparametrar såsom priser, taxor, sätt att indexera, pålagor för särskilda kostnader, eller om användningen av bestämmelserna är tvingande, kan konkurrensmyndigheterna ha invändningar;
- Begränsningar av deltagandet i mässor. Generellt gäller att alla företag ska vara fria att delta i vilka mässor de vill och företag får inte uppmanas att bojkotta mässor. Begränsningar i friheten att delta är endast tillåtna under särskilda villkor. Att medlemsföretag förhandlar gemensamt för att erhålla bättre pris eller andra villkor från en mässorganisation utgör inte ett konkurrensrättsligt problem;
- Speciella krav för medlemskap i en branschförening. Så länge leverantörens medlemskap inte spelar någon avgörande roll för potentiella kunder vid deras val av produkter och tjänster, är det konkurrensrättsligt invändningsfritt. Men så snart kunderna anser att sådant medlemskap är
importantly, the requirements for membership in the trade association must meet objective criteria;
- Det är i princip tillåtet för SAMS att samla in kommersiell information om individuella företag och göra denna information tillgänglig för medlemsföretagen i aggregerad form. Det får under inga omständigheter vara möjligt att utläsa information om individuella företag ur den samlade informationen. De nationella konkurrensmyndigheterna i vissa EU-länder tillåter bara sådana statistiksystem om den insamlade informationen är tillräckligt gammal, t.ex. omfattar data som är åtminstone ett år gammal, och/eller om informationen har gjorts allmänt tillgänglig.
- Ämnen som inte utgör ett problem
The following topics constitute to a large extent the core business of trade associations such as SAMS. Discussions and consultations on these topics do not normally pose any problems under competition law, provided that the topics listed under point A. above are not affected:
- Generella cykliska ekonomiska data och uppgifter om affärsklimat, under förutsättning att diskussionerna om dessa ämnen inte relaterar till något enskilt företags handlingssätt. Diskussioner om dessa ämnen fokuserar på makronivån och påverkar inte enskilda företags marknadsbeteende.
- Lobbyingaktiviteter som hänför sig till gemensamma intressen inom branschen och som koncentrerar sig på lagstiftning och andra allmänna frågor som kan påverka branschen;
- Arbetsrätt och sociala frågor. Dessa frågor berörs inte av konkurrensrätten.
- Legala frågor. Dessa frågor är per definition av generell natur, eftersom de påverkar alla företagsaffärer i samma omfattning;
- Standardiseringsfrågor, om (I) standardiseringsförfarandet är transparent och står öppet för alla parter som vill delta, (II) det inte föreligger ett tvång att följa standarden, (III) tillgång till standarden ges på rättvisa, rimliga och icke-diskriminerande villkor och (IV) diskussionerna i samband med standardiseringsförfarandet är begränsade till tekniska aspekter. Standardisering syftar till produktkompatibilitet och teknisk utveckling vilket normalt kommer att vara till fördel för slutanvändaren;
- Säkerhet och hälsofrågor. SAMS har ett intresse av att främja säkerhet och hälsa med avseende på branschens produkter;
- Environmental issues. SAMS has an interest in promoting environmental considerations in the use of the industry's products.
Application of the Code and Rules of Conduct
Doubts may sometimes arise as to whether a procedure, particularly those referred to under b) above, is compatible with the Competition Act's prohibition of anti-competitive agreements and concerted practices. The question that should then be asked is what purpose the act has and what effects it has. The procedure is prohibited if the purpose is anti-competitive. The same applies if the effect of the procedure is anti-competitive even if the procedure does not have that purpose. An anti-competitive effect exists if the independent conduct of the undertakings concerned on the market is jeopardised.
If it is not obvious, based on the above criteria, that the procedure is legal, the person responsible for the activity should stop the ongoing activity and seek advice from competition law experts.
